Welcome to TELL.com. TELL.com is owned by TE Digital Limited. Please take the time to read this entire agreement ("Agreement") governing your responsibilities and use of the TELL.com site ("Site"). Failure to adhere to your responsibilities under this Agreement may expose you to liability.

To use TELL.com's services you must agree to and abide by the following terms and conditions of use (the "Terms of Use"). Unless specifically noted, the following statements apply to all TELL.com partners and affiliates who receive free or commission based TELL.com Service. If you are under 18, you must have your parent or guardian's permission before you use our Sites. In an effort to comply with the Children's Online Privacy Protection Act, we will not knowingly collect personally identifiable information from children under the age of 13. .

1.Acceptance of Terms

  • "use" includes (without limitation) accessing, retrieving, downloading, logging on to, contributing to, or viewing a service, and user(s) has a corresponding meaning;
  • "you", "your", "yourself" means the user of TELL.com
  • "we", "us" and "our" means TELL.com
  • We may in our discretion add or delete any offered service(s) from time to time.
  • By joining to or using any of our services you agree that you have read, understood and are bound by the terms and conditions set out herein, regardless of whether you use TELL.com to post any of your own materials or to view materials posted by other people.
  • If you do not want to be bound by the Terms of Use, you must not join or use our services.

2.Changes to Terms of Use

  • We may change any or all of the Terms of Use at any time without notice to you.
  • Any changes will become effective from the date we publish them on the relevant websites. You agree to check this website and the Terms regularly for changes.
  • By continuing to use our services after we make the changes, you agree to be bound by the changed Terms and Use.
  • If you do not accept the changed Terms of Use, you must stop subscribing to the service as provided, or stop using the service.

3.Join / Registration / Subscription

  • Register as a member of the service is free. When and if you register to become a member, you agree to provide accurate, current and complete information about yourse lf as prompted by TELL.com"s registration form ("Registration Data"), and to maintain and update your information to keep it accurate, current and complete.
  • You agree that TELL.com may rely on your Registration Data as accurate, current and complete.
  • You acknowledge that if your Registration Data is untrue, inaccurate, not current or incomplete in any respect, TELL.com reserves the right to terminate this Agreement and your use of the service.

4.Account Security

  • When you join TELL.com, you are asked to choose a password. You are responsible for maintaining the confidentiality of your password. You agree not to disclose your password to any third party except a parent or guardian. You will hold TELL.com harmless for any damage arising from a third party accessing TELL.com using a password you disclosed.

5.Proprietary Rights:

  • You represent and warrant to TELL.com that the information posted in your profile including your images / photographs are posted by you and that you are the exclusive author of your profile and the exclusive owner of your images / photographs.
  • You assign to TELL.com, with full title guarantee, all copyright in your profile and your images / photographs posted, at any time, in connection with your use of the service.
  • You waive absolutely any and all moral rights to be identified as author of your profile and owner of your images / photographs and any similar rights in any jurisdiction in the world. In addition, other users may post copyrighted information, which has copyright protection, whether or not it is identified as copyrighted.
  • Except for that information which is in the public domain or for which you have been given express written permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
  • By posting information, images / photographs or content on any service, you automatically grant, and you represent and warrant that you have the right to grant, to TELL.com and other users, worldwide license to use, copy, perform, display, promote, publish and distribute such information, content and photographs and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.

6.User Conduct

    TELL.com's Terms of Use include the rules of User Conduct below:

  • Definition:

    • (a)Content:
    All materials (without limitation) include text and image regardless of whether the Content is included in post, profile, comments, or any other portion or feature of TELL.com

    (b)Destructive Code:
  • is designed to disrupt, disable, harm, or otherwise impede in any manner the operation of any software, hardware or network (generally referred to as "viruses", "Trojan horses" or "worms");
  • would disable any software, hardware or network or impair in any way its operation based on the running out of a period of time, exceeding an authorised number of copies, advancement to a particular date or other numeral (generally referred to as "time bombs", "time locks", or "drop dead" code);
  • would permit any person to access any software, hardware or network of any other person without consent (generally referred to as "trap", "access code", "back door" or "trap door" codes); and
  • any other similar harmful, malicious or hidden procedures, routines or mechanisms which would cause such software, hardware or networks of any person to cease functioning or to damage or corrupt data, storage media, programmes, equipment or communications, or otherwise interfere with operations; "
  • You agree that, when you use our services, you will NOT:
    • (a)Do anything which violates any of the Terms of Use;

    (b)Impersonate any person or entity;

    (c)Express or imply that any statements you make are endorsed by TELL.com, without TELL.com"s specific prior written consent.

    (d)Upload, post or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another"s privacy, hateful, or racially, ethnically, sexually or otherwise objectionable;

    (e)Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through TELL.com;

    (f)"frame" or "mirror" any part of the service, without TELL.com's specific prior written consent.

    (g)Upload, post or transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

    (h)Upload, post or transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;

    (i)Upload, post or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "Spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as classifieds) that are designated for such purpose;

    (j)Upload, post or transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

    (k)"Stalk" or otherwise harass another;

    (l)Collect or store personal data about other users;

    (m)Upload, post or transmit any Content that provides instruction about illegal activities, including illegal drug use, child predation, terrorist activities, instructions in assembling or obtaining bombs or other weapons;

    (n)Upload, post or transmit any Content that encourages or promotes physical harm against any group or individual. This includes Content that encourages or promotes self-harm;

    (o)Interfere with or disrupt TELL.com or the servers or networks used to provide or receive TELL.com or disobey any requirement, procedure, policies and regulation of any networks used to provide and receive TELL.com;

    (p)Intentionally or unintentionally violate any applicable local, state, national, foreign or international laws or regulation, including, any rule or regulation of any securities exchange (q)Violate or infringe the Intellectual Property Rights, contractual or fiduciary rights, privacy or publicity rights of another;

    (r)Propagate, distribute or transmit Destructive Code, whether or not damage is actually caused thereby;

    (s)Use robots, spiders, or any other device, be it automated or manual, to monitor or copy any content from the services;

    (t)Access any of our services or any similar service of a third party or any network without authorization or through hacking, password mining or any other means;

    (u)Help any third party to do any of the above.

  • TELL.com has the right to determine whether any Content or Conduct violates the rules of User Conduct or the Terms of Use in its sole and absolute discretion.
  • You acknowledge that TELL.com has no responsibility for monitoring, filtering or per-screening Content, but that TELL.com has the right (but not the obligation) in their sole discretion to refuse or remove any Content that violates the Terms of Use or is otherwise objectionable.
  • You understand that all Content posted to the Website or otherwise transmitted via TELL.com is the sole responsibility of the individual who originally posted the Content, and that your sole recourse for any damage you may suffer as a result of such content shall be to such individual. You agree that TELL.com will not be liable, under any circumstances and in any way, for any errors or omissions, loss or damage of any kind incurred as a result of the use of any Content posted or otherwise transmitted via TELL.com. You agree that you must evaluate, and bear all risks associated with the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.
  • TELL.com reserves the right to preserve and disclose Content posted to or transmitted via TELL.com if reasonably necessary to:

    • (a)enforce this Agreement
    (b)comply with a legal process
    (c)protect the rights, property, or personal safety of any party.
    (d)TELL.com reserves the right to take appropriate legal action against anyone who uses TELL.com in violation of the Terms of Use. Whenever TELL.com learns of any use of TELL.com in violation of or that may be in violation of any applicable law, TELL.com may report this to law enforcement authorities and otherwise cooperate with such authorities in their investigation.

7.Content Posted

  • You are solely responsible for the text, information, comment, images, photos, profiles, and all the other content that you upload, publish or display on or through the service or the site, or transmit to or share with other users.
  • TELL.com does not guarantee the accuracy, completeness, or usefulness of any content on the service and TELL.com neither adopt nor endorse nor are TELL,com responsible of the accuracy or reliability of any content, comment, post, opinion, advice , or statement made by parties other than TELL.com. Under no circumstances are be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on the service, or transmitted to users.
  • TELL.com reserves the right, but TELL.com has no obligation, to monitor the materials posted in the public areas of the service. TELL.com shall have the right to remove any such material that, in TELL.com's sole discretion, violates, or is alleged to violate, the law of this agreement. Notwithstanding this right, you remain solely responsible for the content of the materials you post in the public areas of the service.
  • You are solely responsible at your sole cost and expense for creating backup copies and replacing any content you post or store on TELL.com.

8.Intellectual Property:

  • All intellectual property rights in and to the service are and shall be owned by TELL.com
  • Those rights include, but are not limited to, database rights, copyright, design rights (whether registered or unregistered), trademarks (whether registered or unregistered) and other similar rights, wherever existing in the world, together with the right to apply for protection of the same.
  • All other trademarks, logos, service marks, company or product names set forth in service are the property of their respective owners.

9.Privacy

  • We care about the privacy of our users. Please see our "Privacy Policy".
  • The personal information you provide to TELL.com will be stored on computers.
  • You consent to TELL.com using this information to build up a profile of interests, preferences and browsing patterns and to allow you to participate in the service.
  • You also agree to read, review, comply with, uphold and maintain TELL.com"s terms and conditions thereof.
  • By using the site or the service, your are consenting to have your personal data transferred to and processed in Hong Kong.

10.Indemnity

    You agree to indemnify and hold TELL.com, and its subsidiaries, affiliates, officers, agents, and employees, harmless from any loss, damage, claim or demand, including reasonable attorney fees, arising out of your Content, your use of TELL.com, your connection to TELL.com, your violation of the Terms of Use, or your violation of any rights of another, whether you are a registered user or not. You are solely responsible for your actions when using TELL.com, including, but not limited to, costs incurred for Internet access.

11.Disclaimers:

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
  • (a) YOUR USE OF TELL.COM IS AT YOUR SOLE RISK. TELL.COM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TELL.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
  • (b) TELL.COM MAKES NO WARRANTY THAT (i) TELL.COM WILL MEET YOUR REQUIREMENTS, (ii) TELL.COM OR ANY SOFTWARE PROVIDED TO YOU THROUGH TELL.COM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF TELL.COM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH TELL.COM WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN SOFTWARE AND ANY SOFTWARE PROVIDED TO YOU THROUGH TELL.COM WILL BE CORRECTED.
  • (c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF TELL.COM IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA OR OTHER LIABILITY THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
  • (d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TELL.COM OR THROUGH OR FROM TELL.COM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF USE.

12.Limitation of Liability:

  • YOU EXPRESSLY UNDERSTAND AND AGREE THAT TELL.COM SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF TELL.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE TELL.COM; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM TELL.COM; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON TELL.COM; OR (v) ANY OTHER MATTER RELATING TO TELL.COM.

13.Termination

  • You may terminate this agreement by terminating your use of the Service.
  • The termination of the agreement will not affect any of our rights that: arose before termination; or
  • by their nature survive termination.
  • TELL.com reserve the right to stop or suspend your membership, delete your profile and any content or information that you have posted on the Site for any reason, or no reason, at any time in its sole discretion, with or without notice.

14.Governing Law and Jurisdiction

  • The Terms of Use are governed by and construed under the laws of Hong Kong and all disputes, actions and other matters relating thereto will be determined in accordance with such law.
  • The Courts of law in Hong Kong shall have exclusive jurisdiction over any disputes in relation to this agreement.
